Basis of the agreement
1. The inventor seeks to disclose information which will be treated as confidential by the developer. That information is then limited to the employees and associates of the developer as his responsibility. The inventor will also treat as confidential any information given to him by the developer such that this agreement is binding on information flow in either direction.
2. Information passed to a third party by either side must only be effected with written permission of the other.
3.The original information remains the intellectual property of the inventor and the inventor has the right to protect this intellectual property by patent or otherwise.
4. Any documents, drawings, prototypes & etc. must be returned on request by either party at any time. The other party may not retain copies or likenesses of any type.
5. Any information that can be shown to be in the public domain before this date of confidentiality is not covered by this agreement.
